These Terms of Use (“Terms”) form a binding agreement between you and DOJOTAP (“DOJOTAP”, “we”, “us”, or “our”) and govern your access to and use of the DOJOTAP website, platform, and related services (the “Platform”), as well as any Brazilian Jiu Jitsu classes, drop-ins, private lessons, open mats, seminars, camps, events, or other training-related services made available for booking through the Platform (“Classes”). Please review these Terms carefully before using the Platform or participating in any Classes.
DISPUTE RESOLUTION NOTICE. These Terms include an arbitration agreement and class action waiver requiring disputes between you and DOJOTAP to be resolved on an individual basis. By agreeing to these Terms, you waive the right to participate in any class action lawsuit, class-wide arbitration, or representative proceeding.
1. Terms of Use
a) Acceptance of the Terms. By accessing or using the Platform, creating an account, making a booking, accepting a booking, connecting a payment account, clicking an acceptance button, or otherwise indicating your agreement, you acknowledge that you have read, understood, and agreed to be bound by these Terms as though you had signed them in writing. If you do not agree to these Terms, you must not access or use the Platform or book, attend, provide, or participate in any Classes through the Platform.
b) Changes to the Terms. DOJOTAP may revise these Terms from time to time. Unless otherwise specified, updated Terms become effective when posted on the Platform. Your continued use of the Platform after revised Terms are posted constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.
c) Additional Terms and Policies. Certain features, bookings, promotions, products, services, Supplier listings, payment flows, or other Platform functionality may be subject to supplemental terms, rules, policies, or guidelines provided by DOJOTAP or by third parties. Those additional terms are incorporated into these Terms by reference. The DOJOTAP Privacy Policy, Cookie Policy, and, where applicable, Supplier Agreement are also incorporated into these Terms by reference. In the event of conflict between these Terms and any supplemental terms, these Terms will apply unless the supplemental terms expressly state otherwise.
2. The DOJOTAP Platform
a) Platform Overview. The DOJOTAP Platform allows users to discover, book, schedule, purchase, Brazilian Jiu Jitsu offerings provided by independent gyms, academies, instructors, coaches, and other training providers (collectively, “Suppliers”).
DOJOTAP itself does not own, operate, manage, control, provide, organise, supervise, or participate in any Supplier, gym, academy, class, private lesson, open mat, seminar, event, facility, instruction, coaching, or training service. DOJOTAP is not a gym, fitness facility, martial arts academy, health club, recreational establishment, instructor, coach, or training provider. The Platform acts solely as a technology marketplace and intermediary that facilitates discovery, booking, payment, and related administrative functionality between users and independent Suppliers.
DOJOTAP acts solely as the Supplier’s limited commercial agent for the purpose of facilitating discovery, booking, and the collection of payment. DOJOTAP collects booking payments on behalf of the Supplier through Stripe Connect. Payment of the booking amount to DOJOTAP discharges your payment obligation to the Supplier for that booking.
All Classes and related services are provided independently by Suppliers, who are solely responsible for the delivery, safety, legality, suitability, quality, supervision, scheduling, and conduct of their services. DOJOTAP does not verify, guarantee, certify, or make representations regarding the qualifications, skill level, belt rank, lineage, experience, safety standards, safeguarding practices, insurance coverage, premises, equipment, coaching methods, or conduct of any Supplier or participant.
DOJOTAP is responsible only for operating the Platform and the booking and payment-facilitation services. DOJOTAP is not responsible for the Class itself, the conduct of any Supplier or participant, or the matters disclaimed in Sections 13 and 14. Suppliers operate as independent service providers and are not employees, agents, partners, representatives, franchisees, or joint venturers of DOJOTAP.
b) Participation Options. Users may access Classes through one-time bookings and other participation models that DOJOTAP may introduce from time to time. Each option may differ in terms of price, features, availability, limits, booking windows, cancellation treatment, refund treatment, and conditions. DOJOTAP reserves the right to change, discontinue, test, restrict, or modify any participation model, booking flow, feature, or access option at its discretion.
c) User Account. Full access to the Platform and Classes generally requires an account. Your DOJOTAP account is for your personal use only unless you are expressly authorised to create or operate an account on behalf of a business or organisation. You may not share your account, transfer bookings, create multiple accounts, allow another person to use your account, or use the Platform for commercial purposes except as expressly permitted by DOJOTAP. You are responsible for maintaining accurate account information and for all activity occurring under your account, including unauthorised activity. DOJOTAP may test, modify, restrict, or remove Platform features and may take reasonable steps to prevent fraud, abuse, duplicate accounts, payment misuse, or circumvention of Platform rules.
d) Availability. DOJOTAP does not guarantee access to any specific Supplier, Class, instructor, venue, booking slot, location, listing, currency, price, facility, timetable, or reservation availability. Inventory and availability may fluctuate, and listings may be updated, suspended, removed, restricted, or unavailable at any time. User access may vary based on Platform rules, Supplier settings, cancellation history, payment status, location, fraud risk, account standing, or other operational factors.
e) Eligibility and Access Restrictions. You must be at least eighteen (18) years old to create an account, use the Platform, make a booking, attend a Class, or provide services through the Platform. The Platform is not intended for persons under the age of 18. By creating an account, making a booking, or using the Platform, you represent and warrant that you are at least 18 years old. DOJOTAP may request age verification and may suspend or terminate any account where it reasonably believes this requirement is not met. Access to the Platform may be limited based on age, location, payment eligibility, legal restrictions, sanctions requirements, prior suspension, account standing, or other criteria determined by DOJOTAP. You are responsible for ensuring that your use of the Platform and participation in any Class complies with all laws, rules, regulations, venue requirements, and Supplier policies applicable to you.
f) Communications. By creating an account or providing contact information, you consent to receive communications from DOJOTAP relating to your account, bookings, payments, cancellations, refunds, disputes, safety matters, security notices, customer support, legal notices, service updates, and other Platform-related matters. These communications may be sent by email, in-Platform notification, SMS, WhatsApp, phone, or other reasonable means. You may opt out of promotional communications where permitted, but you may continue to receive transactional, administrative, security, legal, and booking-related communications.
g) Accounts for Organisations. If you create or use an account on behalf of a gym, academy, instructor, business, organisation, or other entity, you represent that you have authority to bind that entity to these Terms and any applicable Supplier Agreement. References to “you” in these Terms include both you individually and the entity on whose behalf you act.
h) Personal Responsibility and Guests. Unless otherwise stated, bookings may only be made for yourself and any additional participants expressly permitted by the Platform. Where the Platform permits group bookings or additional participants, the person making the booking is responsible for the conduct, eligibility, payment, attendance, and compliance of all participants included in the booking. You are responsible for respecting Supplier facilities, complying with Supplier rules, following reasonable coach instructions, behaving safely and respectfully, and covering any damage caused by you or your permitted guests.
i) Reimbursements and Benefits. DOJOTAP does not guarantee that any booking, Class, payment, or service qualifies for insurance reimbursement, employee benefit schemes, wellness allowances, tax relief, or similar programmes. You are solely responsible for determining eligibility, complying with applicable requirements, keeping records, and submitting any claims. DOJOTAP does not provide medical, tax, insurance, or benefits advice.
j) Supplier Rules and Venue Requirements. Suppliers may impose their own rules, waivers, health and safety requirements, conduct standards, dress codes, hygiene requirements, experience-level requirements, age restrictions, equipment requirements, or participation conditions. You are responsible for reviewing and complying with all Supplier rules. Failure to comply may result in refusal of entry or participation without refund.
3. Fees, Billing, Booking, Cancellation, and Refunds
a) Payment Authorisation. When you make a booking through DOJOTAP, you authorise DOJOTAP and its payment processors to charge, authorise, capture, refund, or otherwise process your selected payment method for the applicable booking amount, service fees, taxes, and any other amounts disclosed during checkout. Payments may be processed through third-party payment processors, including Stripe.
b) Gym Bookings. Gym bookings are confirmed automatically once payment is successfully processed. Gym bookings may generally be made up to fourteen (14) days in advance and no later than ten (10) minutes before the relevant class start time, subject to availability and any Supplier-specific restrictions.
c) Instructor Bookings. Instructor bookings operate on a request and approval basis. When you request an instructor booking, a payment authorisation hold is placed on your payment method. The instructor must accept or decline the request before the confirmation deadline, being the earlier of twenty-four (24) hours after the booking request or three (3) hours before the scheduled session start time. If the instructor accepts, payment is captured and the booking is confirmed. If the instructor declines or does not respond before the confirmation deadline, the booking expires automatically and the payment authorisation hold is released. Instructor bookings may generally be made up to fourteen (14) days in advance and no later than six (6) hours before the scheduled session start time.
d) Abandoned Payment Attempts. Where a user begins checkout but does not complete payment, DOJOTAP may temporarily reserve the relevant place, session, or booking slot while payment is pending. Pending payment reservations may be automatically cancelled if payment is not completed within the applicable timeout period, and DOJOTAP may release the space or slot back to the Platform.
e) Group Bookings. Where the Platform allows a user to book for additional participants, the booking user is responsible for payment for the entire booking and for ensuring that all additional participants comply with these Terms, Supplier rules, waivers, safety requirements, and conduct standards. DOJOTAP may limit group size, participant numbers, or booking types at any time.
f) Booking and Cancellation Process. All bookings, cancellations, refunds, and booking-related changes must be processed through the DOJOTAP Platform unless DOJOTAP expressly agrees otherwise. Neither Grapplers nor Suppliers may book, cancel, re-arrange, or pay for Classes directly with one another, including through the Supplier’s own systems, in order to bypass the Platform, avoid fees, alter booking terms, or circumvent these Terms is prohibited. If you do so, DOJOTAP may suspend or terminate your account and take any other action available to it.
g) Refund Policy. Unless expressly stated otherwise at the time of booking, confirmed bookings are non-refundable except where required by applicable law or where DOJOTAP determines, in its discretion, that a refund is appropriate. Without limiting DOJOTAP’s discretion, refunds may be issued where the Supplier cancels the booking, where DOJOTAP cancels the booking for operational, legal, safety, or policy reasons, where an instructor declines or fails to confirm a pending instructor booking, or where the Supplier fails to provide reasonable access to the booked Class or materially fails to provide the service booked.
DOJOTAP reserves the right to refuse a refund where you choose not to attend, arrive late, fail to meet participation requirements, are refused participation for reasonable safety or conduct reasons, book the wrong Class, fail to read listing information, are dissatisfied with the coaching style or class content, or otherwise decide not to participate, except where a refund is required by applicable law.
To be eligible for discretionary refund review, you must notify DOJOTAP as soon as reasonably possible, and no later than one (1) week after the Class, and provide supporting evidence if requested. DOJOTAP may assess refund eligibility based on the circumstances, evidence, Supplier input, Platform records, Stripe records, and any applicable law.
h) Gym Booking Cancellations. Confirmed gym bookings cannot be cancelled by the user through the Platform and are non-refundable unless a refund is required by law, the Supplier cancels, DOJOTAP cancels, or DOJOTAP otherwise determines that a refund is appropriate.
i) Instructor Booking Cancellations. A user may cancel an instructor booking request while it is still awaiting instructor confirmation. If the instructor has not accepted the booking, the authorisation hold will be released and no charge will be made. Once an instructor accepts and the booking is confirmed, the booking is non-refundable and cannot be cancelled by the user through the Platform unless required by law or otherwise determined by DOJOTAP.
j) Supplier Cancellations. Suppliers may cancel bookings through the Platform where necessary. If a Supplier cancels a confirmed booking, DOJOTAP will process a refund to the user through the original payment method. Supplier cancellations may affect Supplier visibility, ranking, approval status, or continued access to the Platform.
k) Pricing Changes. Suppliers may revise prices for their Classes at any time. Updated prices apply once displayed on the Platform and do not affect confirmed bookings unless expressly stated. DOJOTAP may also change service fees, commissions, Platform charges, or other pricing features from time to time. DOJOTAP may also introduce, vary, combine, or replace fees and fee types (including service fees, commissions, listing fees, or subscription fees), whether charged to Grapplers, Suppliers, or both, from time to time on reasonable notice. Any change to fees is prospective only and does not affect Bookings already confirmed.
l) Payment Methods and Failed Charges. All payments are handled by Stripe or other third-party payment processors. By making or accepting payments through the Platform, you agree to be bound by the applicable payment processor terms and privacy policies. DOJOTAP does not itself process or hold full payment card information and is not a bank, payment institution, money transmission service, or e-money institution. DOJOTAP uses Stripe Connect and related payment infrastructure to facilitate payments between users and Suppliers. As part of using the Platform, you authorise DOJOTAP to share necessary information with payment processors for payment processing, identity verification, fraud prevention, dispute handling, and regulatory compliance.
If a charge fails due to expiration, insufficient funds, card issuer refusal, suspected fraud, payment processor error, or any other reason, you remain responsible for outstanding amounts and authorise DOJOTAP and its payment processors to retry or complete payment using available or updated payment methods where permitted. DOJOTAP may suspend, restrict, or terminate access to the Platform for failed payments or unresolved balances.
m) Supplier Payouts. Supplier payouts are processed through Stripe Connect or other third-party payout providers. Payouts are generally scheduled after the booked session time, subject to Platform rules, payout eligibility, dispute review, refund risk, payment processor timing, Supplier account standing, fraud checks, and other operational considerations. DOJOTAP does not guarantee specific payout timing and is not responsible for delays caused by payment processors, banks, card networks, fraud reviews, compliance checks, or Supplier account issues.
n) Additional Fees and Third-Party Costs. You are responsible for any third-party costs associated with accessing or using the Platform or attending Classes, including internet charges, mobile fees, bank charges, currency conversion fees, card issuer fees, taxes, equipment hire, facility extras, or Supplier-imposed charges not included in the booking.
o) Payment Disputes and Chargebacks. If you initiate a chargeback or payment dispute through your bank, card issuer, or payment provider, DOJOTAP may suspend or restrict your account pending resolution. DOJOTAP may submit booking records, communications, attendance evidence, payment records, Supplier information, and other relevant evidence to Stripe, banks, card networks, or dispute-resolution participants. Fraudulent, abusive, frivolous, or bad-faith chargebacks may result in permanent account termination and denial of future access to the Platform.
p) Prices and Tax. Prices shown on the Platform are set by Suppliers and may be inclusive or exclusive of applicable taxes depending on the Supplier and your location. Any taxes due on the Class are the responsibility of the Supplier as the provider of the service, except where DOJOTAP is required by law to collect and remit tax.
You are responsible for your own tax affairs in connection with your use of the Platform. DOJOTAP does not provide tax advice.
4. Promotions
DOJOTAP may introduce promotions, discounts, referral credits, launch offers, influencer codes, Supplier campaigns, free trials, or other promotional features from time to time. Promotions are subject to any additional terms stated at the time they are made available. DOJOTAP reserves the right to determine eligibility, refuse participation, modify, suspend, withdraw, or terminate any promotion at any time, including where we suspect fraud, abuse, duplicate accounts, manipulation, or violation of these Terms.
Promotional credits or discounts have no cash value, are non-transferable, may be subject to expiry, may be limited by location, booking type, Supplier, account type, or availability, and may be revoked if obtained or used improperly.
5. Termination or Modification by DOJOTAP
You acknowledge and agree that DOJOTAP may, at any time and without prior notice, suspend, restrict, deactivate, or terminate your account, bookings, listings, payouts, content, or access to the Platform, or modify or discontinue any aspect of the Platform, where DOJOTAP considers it appropriate.
Grounds for suspension, restriction, cancellation, or termination may include breach of these Terms, suspected fraud, chargeback abuse, payment failure, safety concerns, abusive conduct, harassment, misuse of the Platform, off-platform circumvention, duplicate accounts, legal or regulatory risk, Supplier complaints, user complaints, intellectual property issues, or any other matter that DOJOTAP considers relevant to the safety, integrity, reputation, or operation of the Platform.
Upon termination, your account and related access may be deactivated immediately. Except where required by law or expressly determined by DOJOTAP, no refund will be issued where termination results from breach of these Terms, fraud, abusive conduct, unlawful conduct, or improper use of the Platform. If your account is terminated, you may not create a new account using different credentials, emails, devices, payment methods, or identities without DOJOTAP’s written permission.
Your only remedy for dissatisfaction with service changes, feature changes, availability changes, Platform restrictions, or account limitations is to stop using the Platform.
Grapplers may close their account at any time by using the account settings or contacting info@dojotap.com. Closing their account does not cancel or refund confirmed bookings, and does not affect rights or obligations that arose before closure. We will handle any personal information associated with their account in accordance with our Privacy Policy, including its retention provisions.
6. Privacy
The DOJOTAP Privacy Policy is incorporated into these Terms by reference and explains how personal information is collected, used, stored, and shared. When you book a Class or interact with a Supplier through the Platform, the relevant Supplier may receive certain information necessary to process reservations, provide services, verify attendance, communicate about the booking, or handle related operational matters.
7. Prohibited Conduct
In addition to other restrictions in these Terms, you agree that you will not harass, threaten, deceive, stalk, intimidate, abuse, discriminate against, exploit, or otherwise harm DOJOTAP users, Suppliers, coaches, venue staff, DOJOTAP personnel, or others.
You must not impersonate another person, access another user’s account, maintain duplicate accounts, share your account credentials, allow unauthorised use of your account, or permit others to attend Classes booked under your account except where expressly permitted.
You must not book, cancel, pay for, or arrange Classes directly with Suppliers in a manner intended to bypass the Platform, avoid fees, manipulate booking rules, or circumvent DOJOTAP’s payment or cancellation processes.
You must not copy, distribute, sell, license, scrape, data-mine, reverse engineer, decompile, disassemble, benchmark, commercially exploit, or otherwise misuse the Platform, its content, software, listings, data, or functionality.
You must not introduce malware, interfere with the operation or security of the Platform, attempt to bypass access controls, gain unauthorised access, send spam, use bots or automated tools without permission, upload unlawful or infringing content, submit false reviews, manipulate ratings, collect personal data of other users for unauthorised purposes, use the Platform for unlawful purposes, or use the Platform or its content to train artificial intelligence or machine learning models without DOJOTAP’s express written permission.
DOJOTAP reserves the right, at its sole discretion, to refuse service, remove content, cancel bookings, restrict features, suspend payouts, or terminate accounts in response to prohibited conduct or suspected prohibited conduct.
8. User Submissions
a) Overview. The Platform may allow users and Suppliers to submit, upload, share, search for, and access content and information. This may include profile details, listing descriptions, photographs, gallery images, instructor biographies, gym information, reviews, ratings, comments, messages, feedback, and other content submitted by users or generated through use of the Platform (collectively, “User Submissions”). You should carefully consider what you choose to post or make available through the Platform, as DOJOTAP does not promise anonymity or confidentiality for User Submissions.
b) Reviews. You acknowledge that reviews and ratings may be publicly visible without further notice or consent and should assume that anyone, including Suppliers, other users, search engines, and individuals who are not users, may view them. DOJOTAP is not responsible for how information disclosed in reviews, including personal information, is used or shared by others. Reviews are provided for informational purposes only and represent the views of the individual author, not DOJOTAP. Each user is solely responsible for the reviews and other User Submissions they submit.
c) Removal or Modification of Content. DOJOTAP is not required to publish, display, retain, or distribute any User Submission and may, at its sole discretion, refuse, edit, restrict, hide, or remove any User Submission at any time, with or without notice. This includes removing content in response to legal complaints, intellectual property notices, privacy concerns, safety concerns, review manipulation, defamation risk, platform policy concerns, or any other reason DOJOTAP considers appropriate. While DOJOTAP may monitor content, it is not obligated to do so and assumes no responsibility for User Submissions.
d) Licence Granted to DOJOTAP. You retain ownership of the original elements of your User Submissions. However, by submitting content, you grant DOJOTAP and its partners, sublicensees, service providers, and designees a worldwide, non-exclusive, royalty-free, fully paid, perpetual, irrevocable, transferable, and sublicensable licence to use, copy, distribute, modify, adapt, translate, create derivative works from, display, publish, perform, and otherwise use your User Submissions in connection with the Platform and DOJOTAP’s business activities, including operating, improving, marketing, and promoting the Platform across any current or future media formats or channels.
e) Representations and Moral Rights Waiver. You represent and warrant that you own or have all rights, permissions, licences, and consents required to submit your User Submissions and grant the licence above. To the extent permitted by law, you waive any moral rights or similar rights you may have in User Submissions, including rights of attribution or integrity.
f) Third-Party Content and Objectionable Material. User Submissions originate from many sources, and DOJOTAP does not verify, endorse, or guarantee their accuracy, legality, completeness, or appropriateness. You may encounter content that is inaccurate, offensive, unlawful, harmful, or otherwise objectionable, and you agree to waive any claims against DOJOTAP arising from exposure to such content to the fullest extent permitted by law.
g) Feedback. If you provide suggestions, ideas, bug reports, comments, feature requests, business ideas, or other feedback regarding the Platform (“Feedback”), DOJOTAP may use that Feedback in any manner it chooses without obligation to notify, credit, or compensate you. You grant DOJOTAP a perpetual, irrevocable, worldwide, non-exclusive, royalty-free licence to use such Feedback for any purpose.
h) Infringement or Unlawful Conduct. DOJOTAP reserves the right, but is not required, to suspend or terminate access to the Platform and remove content submitted by users involved in infringing, unlawful, abusive, fraudulent, or harmful activities. Suspected unlawful conduct may be reported to appropriate authorities.
9. Reporting Illegal Content, IP Infringement, Abuse, and Safety Concerns
a) If you encounter content on the Platform that you believe is illegal, harmful, or in breach of these Terms, or if you wish to report the conduct of a Supplier, participant, or other user, including any safety, harassment, abuse, or safeguarding concern, you can report it to us at info@dojotap.com. Please include enough detail for us to locate and assess the content or conduct. Reporting to DOJOTAP is not a substitute for contacting other relevant authorities, including but not limited to emergency services or the police. b) Reporting intellectual property infringement. If you believe content on the Platform infringes your copyright, trademark, or other intellectual property rights, send a notice to info@dojotap.com including: (i) your contact details; (ii) identification of the protected work and the allegedly infringing content (with a URL or location); (iii) a statement that you have a good-faith belief the use is not authorised; (iv) a statement that the information is accurate and that you are the rights holder or authorised to act for them; and (v) your signature (electronic is acceptable). c) What we do with reports. We will review reports we receive and may remove or disable access to content, suspend or terminate accounts, notify the parties involved (including the user who posted any removed content), or refer matters to law enforcement or other authorities where we consider it appropriate. d) Counter-notice. If your content was removed and you believe this was in error, you may submit a counter-notice to the same address with the equivalent information set out in (b). We may, but are not required to, restore content following a valid counter-notice. e) Repeat infringers. We may suspend or terminate the accounts of users who repeatedly infringe intellectual property rights or repeatedly post illegal or harmful content. f) Urgent safety risks. If you believe there is an immediate risk to someone’s safety, contact your local emergency services first. Reporting to DOJOTAP is not a substitute for contacting the emergency services or the police. g) Point of contact. 10. Ownership; Intellectual Property; Content
a) Ownership of the Platform and Content. The DOJOTAP Platform is owned and operated by DOJOTAP. All materials made available through the Platform, including software, code, interfaces, designs, graphics, text, images, video, audio, logos, service names, trademarks, trade dress, features, functionality, databases, compilations, and other content provided by DOJOTAP (collectively, “Content”), are protected by copyright, trademark, database, trade dress, and other intellectual property laws. Except for User Submissions, all Content on the Platform is owned by DOJOTAP or its licensors. Unless expressly permitted by DOJOTAP, you may not copy, sell, license, distribute, modify, reproduce, publish, perform, display, scrape, extract, or otherwise use Content for commercial purposes. Any rights not expressly granted are reserved.
b) Restrictions on Use and Security. You agree not to reverse engineer, decompile, disassemble, interfere with, or attempt to derive source code from the Platform, its software, or any related security, access controls, or usage restrictions except where expressly permitted by law. You must not use Content in a manner that infringes intellectual property rights, misleads others, competes with DOJOTAP, trains artificial intelligence or machine learning systems, or violates these Terms.
c) Permitted Use. Subject to these Terms, DOJOTAP grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform for your personal, lawful, non-commercial use or, where you are an authorised Supplier, for lawful use in connection with your approved Supplier account.
d) Account and Content Restrictions. You may not share your DOJOTAP account, resell access, redistribute Content, remove proprietary notices, obscure ownership identifiers, modify Platform materials, or use Content outside the permitted scope. Downloading, viewing, or accessing Content does not transfer ownership to you.
e) Supplier and User Content. Supplier listing content, user reviews, images, and other User Submissions remain subject to Section 8. DOJOTAP may use such content to operate, market, promote, improve, moderate, and protect the Platform.
f) Third-Party Content. Some Content may be owned by third parties or provided by Suppliers, users, payment processors, map providers, or other service providers. DOJOTAP does not guarantee the accuracy, availability, legality, or quality of third-party content and may remove or restrict it at any time.
g) Removal of Content. DOJOTAP or applicable rights holders may remove Content from the Platform at any time without prior notice.
h) Third-Party Beneficiaries. Owners of third-party Content are intended third-party beneficiaries of this section and may enforce it directly where permitted by law.
11. Third-Party Websites, Products, and Services; Links
The Platform may provide links to or access to external websites, platforms, applications, payment processors, map services, authentication providers, communication tools, or other services operated by third parties (“Linked Services”) for user convenience or operational functionality. DOJOTAP does not endorse, control, or assume responsibility for any Linked Services or for the information, content, products, services, policies, accuracy, availability, security, or practices made available through them.
Your access to and use of any Linked Services is at your own risk and may be subject to additional terms and privacy policies. Any communications, transactions, payments, identity verification, promotions, or other dealings involving third parties are strictly between you and the applicable third party. DOJOTAP will not be liable for any loss, damage, or harm arising from such interactions or from the presence or use of third-party services on or through the Platform.
12. Electronic Signatures and Agreements
You acknowledge and agree that selecting buttons, checkboxes, or links labelled with phrases such as “Pay”, “Confirm Booking”, “Submit”, “Accept”, “I Agree”, “Connect Stripe”, “Create Account”, “Book”, “Continue”, “Publish”, “Save”, “Approve”, “Decline”, or similar language designated by DOJOTAP constitutes your electronic signature and your acceptance of the applicable terms, booking, payment, authorisation, policy, or instruction.
By taking such actions, you enter into legally binding agreements and demonstrate your intent to be bound. You consent to the use of electronic signatures, agreements, notices, orders, payment authorisations, booking confirmations, and transaction records in connection with the Platform. To the extent permitted by law, you waive any requirement for physical signatures, paper records, or non-electronic forms of acceptance.
13. General Disclaimers; No Warranties
All Classes and Supplier services made available through the Platform are provided by Suppliers, not by DOJOTAP. Any descriptions, availability, pricing, facilities, instructor information, schedules, images, belt ranks, lineage claims, safety information, location details, or other listing information are supplied by Suppliers or users.
To the fullest extent permitted by applicable law, your use of the Platform and your booking, attendance, participation in, or reliance on any Class is entirely at your own risk. DOJOTAP makes no representations or warranties of any kind, whether express, implied, statutory, or otherwise, in connection with the Platform or any Classes.
DOJOTAP is not responsible for the actions, omissions, performance, non-performance, misconduct, negligence, assault, harassment, abuse, safeguarding failures, facility conditions, coaching decisions, safety practices, or service delivery of any Supplier, instructor, coach, staff member, participant, user, or other third party. DOJOTAP does not act as agent for any Supplier or user in respect of the provision of Classes.
The Platform and all Content, features, and services made available through it are provided on an “as is” and “as available” basis. To the maximum extent allowed by law, DOJOTAP disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, security, and reliability.
Without limiting the foregoing, DOJOTAP makes no guarantees that the Platform or any Class will meet your needs, be suitable for you, be safe or appropriate, be available in your jurisdiction, operate without interruption, be free from defects, viruses, or harmful components, or that information available through the Platform will be accurate, complete, current, or reliable.
All information provided through the Platform, including blog content, training information, reviews, listing descriptions, venue details, and recommendations, is for informational purposes only. Reliance on such information is solely at your own risk.
Some jurisdictions do not allow limitations on implied warranties or the exclusion of certain damages. If such laws apply to you, certain disclaimers or limitations may not apply to the extent prohibited by law.
14. Waiver and Release
You acknowledge that DOJOTAP is not a gym, martial arts academy, fitness facility, instructor, coach, health provider, safeguarding body, regulatory authority, or training provider. All Classes are operated and delivered by Suppliers, not by DOJOTAP. DOJOTAP does not control or guarantee the quality, safety, supervision, legality, suitability, or conduct of any Supplier, facility, instructor, coach, participant, staff member, or Class.
You are solely responsible for determining whether any Class is appropriate for you and for any participant included in your booking. Brazilian Jiu Jitsu and martial arts training involve inherent and significant risks, including bruising, cuts, strains, sprains, fractures, dislocations, ligament injuries, tendon injuries, concussions, spinal injuries, infections, illness, emotional distress, disability, paralysis, and death. By using the Platform or participating in any Class, you acknowledge and voluntarily assume all such risks, whether known or unknown, foreseeable or unforeseeable.
DOJOTAP is not responsible for Supplier conduct, premises, coaching, assault, harassment, abuse, safeguarding failures, or injury.
You are responsible for consulting a physician or other qualified healthcare professional before participating in any Class if you have any medical condition, injury, concern, or uncertainty regarding your fitness to participate. You should not participate in any Class if advised not to do so by a medical professional. If you experience dizziness, pain, shortness of breath, discomfort, illness, or any unsafe condition, you should stop participating immediately.
You further acknowledge that any fitness, wellness, martial arts, or training information provided through the Platform, including through blog posts or listing descriptions, is for informational, educational, or entertainment purposes only. Nothing available through the Platform constitutes medical, professional, therapeutic, legal, safeguarding, or safety advice.
DOJOTAP is not an insurer and does not provide, arrange, or procure any insurance for Users. Any insurance a Supplier holds (such as public liability cover) is maintained for the Supplier's own purposes and does not constitute personal accident, medical, travel, or other cover for you. You are responsible for arranging any insurance you consider appropriate for your participation in Classes, including personal accident, medical, and, where relevant, travel insurance, and for satisfying yourself that any such policy covers Brazilian Jiu Jitsu, martial arts, and contact-sport activities and the location where you train. DOJOTAP does not provide insurance advice.
To the fullest extent permitted by law, you release DOJOTAP from any and all claims, liabilities, damages, losses, costs, or expenses arising out of or related to your use of the Platform, your participation in any Class, your interaction with any Supplier or participant, or any injury, illness, death, property damage, abuse, harassment, assault, safeguarding failure, or loss suffered by you or any person included in your booking.
15. Indemnification; Hold Harmless
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless DOJOTAP and its officers, directors, employees, contractors, agents, representatives, affiliates, successors, and assigns from and against any claims, demands, actions, investigations, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising out of or related to your use or misuse of the Platform or any Class, your violation of these Terms, your User Submissions, your infringement of third-party rights, your conduct toward any Supplier, user, coach, staff member, or third party, your booking of a Class for another participant, your participation in any Class, your breach of representations or obligations under these Terms, or any injury, illness, death, property damage, dispute, chargeback, or loss arising from your acts or omissions.
16. Limitation of Liability and Damages
To the fullest extent allowed by law, DOJOTAP and its officers, directors, employees, contractors, agents, representatives, affiliates, successors, and assigns will not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages under any legal theory, including contract, tort, negligence, product liability, misrepresentation, restitution, statute, or otherwise, even if advised of the possibility of such damages.
To the fullest extent allowed by law, DOJOTAP will not be liable for loss of profits, loss of business, loss of goodwill, loss of opportunity, loss of data, personal injury, property damage, emotional distress, reputational harm, payment processor delays, Supplier non-performance, Supplier misconduct, user misconduct, Platform downtime, or third-party service failures.
In all events, the total aggregate liability of DOJOTAP to you arising out of or relating to these Terms, the Platform, or any Class will not exceed the greater of fifty U.S. dollars (USD $50) or the service fees actually received by DOJOTAP from you in connection with the booking giving rise to the claim.
Nothing in these Terms excludes liability to the extent such liability cannot be excluded under applicable law.
17. Supplier Waivers and Terms
By booking or attending a Class, you acknowledge and agree that you may be subject to the applicable Supplier’s liability waivers, rules, policies, codes of conduct, health and safety requirements, safeguarding policies, participation requirements, and terms. Participation in Classes may require compliance with additional Supplier-specific conditions.
You understand that failure to comply with these Terms or a Supplier’s policies may result in refusal of entry, refusal of participation, removal from premises, cancellation of bookings, or suspension from the Platform, without refund except where required by law.
For questions regarding a Supplier’s waiver, rules, insurance, policies, safeguarding procedures, or terms, you should consult the Supplier directly.
18. Governing Law
These Terms and any dispute or claim, including non-contractual disputes or claims, arising out of or in connection with them, their subject matter, formation, or your use of the Platform shall be governed by and construed in accordance with the laws of England and Wales.
19. Dispute Resolution
If you have a complaint or dispute, please contact us at info@dojotap.com with the details before starting any formal proceedings. You and DOJOTAP agree to attempt to resolve any Dispute informally for 30 days after written notice before commencing arbitration. If you are a consumer and we cannot resolve your complaint, you may be entitled to use an alternative dispute resolution (ADR) or ombudsman scheme available in your jurisdiction. The arbitration provisions below are not intended to, and do not, prevent a consumer from exercising any non-waivable right to bring a claim in their local courts. If the dispute cannot be resolved after the prescribed 30 days, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or any products or services provided by or through DOJOTAP (a “Dispute”) shall be resolved exclusively by final and binding arbitration.
The arbitration shall be seated in London, England, in the English language, in accordance with the Arbitration Rules of the London Court of International Arbitration (LCIA) in effect at the time arbitration is commenced. The arbitration shall be heard by one arbitrator appointed in accordance with those rules.
The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.
You agree that you may only pursue disputes against DOJOTAP in an individual capacity and not as a plaintiff, claimant, representative, or class member in any purported class action, collective action, representative proceeding, or class-wide arbitration.
20. General
a) Entire Agreement. These Terms, together with the Privacy Policy, Cookie Policy, and any applicable Supplier Agreement or supplemental terms, constitute the entire agreement between you and DOJOTAP in relation to your use of the Platform and supersede all prior or contemporaneous understandings relating to the same subject matter.
b) Severability. If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.
c) No Waiver. DOJOTAP’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
d) Assignment. DOJOTAP may assign, transfer, subcontract, or delegate its rights and obligations under these Terms without your consent. You may not assign or transfer your rights or obligations without DOJOTAP’s prior written consent.
e) Force Majeure. DOJOTAP shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including natural disasters, pandemics, public health events, acts of government, war, terrorism, civil unrest, labour disputes, internet outages, payment processor failures, banking delays, cloud hosting failures, cyberattacks, or failures of third-party service providers.
f) Notices. DOJOTAP may provide notices through the Platform, by email, or by other reasonable means. You are responsible for keeping your contact information up to date.
